Expert analysis of SWK merger

Genesis was retained to provide an independent expert assessment of the proposed acquisition of a wholesale agricultural suppliers company by a cooperative, SWK.

Together with other agricultural cooperatives, SWK also holds shares in another wholesale agricultural supplies company.

Despite other minority shareholders in the consortium raising concerns over potential foreclosure, the project team’s analysis clearly demonstrated that not only did alternatives exist, but there was no incentive to foreclose given the critical importance of scale in wholesale operations.

The merger was approved without conditions.
