We assist our clients with an overview of the landscape in each of these cases and develop recommendations on the most appropriate options available to them.

Commercial and strategic due diligence

We partner with investors to offer advice on whether the target is a suitable investment option. Our approach combines rigorous external and internal strategic and financial analysis with senior management engagement to develop an objective view of the future growth path of the targeted business and infer the potential value of the investment.

Post-acquisition strategic alignment

We partner with investors and senior management teams to review and analyse the existing strategy of the acquired business, drawing on our strategic planning expertise to develop strategies that assists them to convert potential opportunities into realisable value for all of their stakeholders.

Project Finance

Feasibility assessment

A detailed feasibility assessment is a critical component in the preparation of a project and in the assessment of the project’s attractiveness to private investment.  The feasibility study covers the technical, legal, social, environmental, economic and financial aspects of the project, which holistically inform a decision on the most appropriate transaction structure with which to implement the project.

Planning

Genesis offers the public and private sectors the tools and expertise to strengthen infrastructure development planning and to identify sources of finance. Our approach takes into account two key elements, namely: analysing and helping establish enabling environments (including policies and regulatory frameworks) and detailed sector planning. Planning is essential in the appropriate allocation of budgets, the prioritisation of project pipelines and the eventual delivery of infrastructure.

PPP/Infrastructure transaction advisory

The Infrastructure and PPP advisory practice assists public institutions and private investors in the planning, procurement and implementation of large-scale transactions for infrastructure and related services.

Our transaction advisory expertise is in the context of public-private partnerships (PPPs), which involve a contract between a public-sector institution and a private party for the provision of an infrastructure asset or service. Our service spans the PPP project cycle. The expertise provided includes feasibility assessment, managing competitive bidding processes, contract negotiation and assistance to commercial close.

Financial structuring and capital raising

Transaction structuring involves identifying the most appropriate project finance structure that maximises value for money and can be implemented.

The transaction structure outlines the various parties involved in the project management, implementation and financing. Our expertise ensures that the most appropriate structure is adopted where projects risks are appropriately identified and allocated, with sufficient risk-mitigation measures put in place.

Procurement support

The Genesis project finance team supports our clients in the management of complex bidding processes, designing bidding evaluation criteria, bid evaluation and contract negotiation. In the case where our clients are private-sector parties, Genesis is able to provide support for specific bidding requirements on a project, as well as meeting their needs within the contract negotiating phase.

We assessed each of the growth trajectories of each of these businesses individually and collectively to determine their attractiveness.

Our team’s approach to deliver value to our client comprised a three-phased workflow focused on analysing the macroeconomic drivers of demand for credit services; the structure of each industry and its competitive dynamics; and each business’s past performances. Our analysis formed the basis for a financial forecast mapping the trajectory of each business’s revenue growth and resulting profitability.

Our work was incorporated into the client’s investment committee processes and directly led to the acquisition of both businesses. The deal won the Catalyst Private Equity Deal of 2014 accolade at the annual South African Dealmakers Awards in 2015.
