Genesis was commissioned by an international private equity investor to conduct the commercial due diligence of an early-stage Ethiopian technology service provider.

The focus of the assignment was to assess Ethiopia's attractiveness as a market, identify the key drivers of the business and to provide a view on the sustainability of the business model over the medium term.

As this business is relatively at an early stage, operating in a developing market, the Genesis team developed a bespoke approach to analysing the business and providing a comprehensive assessment of the business model. The approach focused on developing a lifetime value model together with a comprehensive scalability model, based on the unit economics of the business's core products and services as well as a number of distinct customer profiles.

The team's assessment of the business highlighted strategic issues for the investment team and provided an independent view on the business's likely growth. Genesis was able to unlock additional value for the investment team by providing the basis for their investment and helping to inform their post-investment strategy.

Genesis provided commercial due diligence services to global alternative asset manager The Carlyle Group on its investment in Global Credit Ratings (GCR). 

GCR is a pan-African credit rating agency that has been in operation for 20 years and provides credit ratings and analysis services to insurers, financial institutions, the public sector and other corporate entities across 20 African countries.

Carlyle commissioned the Genesis team to conduct the commercial due diligence on GCR. This entailed estimating the addressable market for credit ratings, exploring the competitive landscape and understanding the legal and regulatory environment for the credit rating industry in GCR’s core markets. 

Based on these findings, Genesis also built a comprehensive financial model to support the transaction.

An established private-equity investor asked Genesis to objectively assess the strategies of two major South African credit services businesses – a credit bureau and a leading data-marketing services provider – as part of its buy-and-build investment into the industry. 

We assessed each of the growth trajectories of each of these businesses individually and collectively to determine their attractiveness.

Our team’s approach to deliver value to our client comprised a three-phased workflow focused on analysing the macroeconomic drivers of demand for credit services; the structure of each industry and its competitive dynamics; and each business’s past performances. Our analysis formed the basis for a financial forecast mapping the trajectory of each business’s revenue growth and resulting profitability.

Our work was incorporated into the client’s investment committee processes and directly led to the acquisition of both businesses. The deal won the Catalyst Private Equity Deal of 2014 accolade at the annual South African Dealmakers Awards in 2015.

Genesis was retained by an international private equity firm to conduct commercial due diligence of a South African data-marketing services business. An in-depth analysis of the business's existing product and services offerings was undertaken in order to provide insights into the sustainability of revenues, as well as into possible growth opportunities. The aim of the project was to determine whether the business would be a viable investment for a larger financial services entity.

Genesis was commissioned by a large African securities exchange to describe how the country's current system of exchange controls affected the choices and constraints driving the decisions of market participants and issuers. Of particular interest to the client was to analyse how a change in exchange controls might affect the behaviour of market participants in a way that might be detrimental to the exchange and the products it offers. 

To better understand how exchange controls affect the behaviour of market participants, Genesis identified a profile of different categories of participants and issuers across the exchange's markets and identified the choices and constraints driving the behaviour and decisions of each category of participant and issuer.

We then considered the role that exchange controls (among others) played in such a decision and identified how exchange-control policy might change in a future environment. We also considered the impact of exchange-control removal on the behaviour (choices/constraints) of categories of investors, as well as on the opportunities created for competing exchanges. We identified, at a high level, how a change in the behaviour of participants and issuers might affect the exchange's business model and profitability.
